“EUROSPORT TOUR” Competition Rules

ARTICLE 1 THE PROMOTER AND PRESENTATION OF THE COMPETITION

The Company Eurosport, a simplified joint-stock company with a share capital of €17,181,818.20, with registered office at 3 rue Gaston et René Caudron, 92798 Issy-les-Moulineaux Cedex 9, France (the “Promoter”) is organising a competition entitled “Eurosport Tour” made up of three intermediate competitions from 15 June 2015 to 15 September 2015 (the “Competition”).
The Competition is organised in partnership with Strava Inc., a US company, whose registered office is PO Box 32 Hanover, NH 03755, USA, to celebrate cycling. A website is created for the occasion, to offer the opportunity for visitors to participate and view their own results, rankings and challenge other Eurosport Tour participants.

ARTICLE 2 ELIGIBILITY AND ACCEPTANCE OF THE RULES

Participation in the Competition implies that the participant (the “Participant”) unconditionally accepts the principle of the Competition, these Rules (the “Rules”) and the Eurosport Tour 2015 Participant Liability Release (Appendix 1). Any person infringing one or more sections of the Rules will be deprived of the opportunity to participate in the Competition, but also of the prize he/she could possibly win.
The Competition is open to any individual over eighteen years old able to cycle, residing in one of the following countries:
Albania, Andorra, Austria, Belarus, Belgium, Bosnia, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Finland, France, Germany, Greece, Hungary, Ireland, Israel, Kazakhstan, Liechtenstein, Macedonia, Malta, Monaco, Netherlands, Norway, Poland, Portugal, Romania, Russia, Serbia, Slovakia, Slovenia, Spain, Sweden, Switzerland, Turkey, United Kingdom.
Participation is limited to one entry per household (same name, same postal address).
In no case may the following participate in this Competition:
-	People whose health or physical conditions do not allow cycling;
-	People who collaborated in its organisation and/or have a direct or indirect legal link with the Promoter.

ARTICLE 3 RECOMMENDATIONS AND HEALTH WARRANTIES

Each Participant warrants to the Promoter:
-	To adopt prudent behaviour for himself/herself and for others during bike rides, as part of the Competition;
-	To respect the road regulations in force in the country where he/she completes bike rides (e.g. mandatory cap,
    etc.);
 
-	To be able to provide a medical certificate from a doctor attesting to his/her physical ability to practice sports, especially cycling if the Promoter asks him/her.

By accepting these Rules, each Participant acknowledges and agrees to be:
-	solely responsible for his/her health;
-	solely responsible for his/her behaviour during the Competition.

Therefore, each Participant explicitly agrees that the Promoter, its subsidiaries, affiliates, officers, agents, employees and partners (the “Exempt Parties”) are exempt from any liability related to the Participant’s sports activities as part of the Competition. In addition, each Participant explicitly agrees that the Exempt Parties shall be liable to him/her or any third party for direct damages related to the Participant’s sports activities as part of the Competition.
Each Participant agrees that the athletic efforts in the Competition involve risks such as but not limited to, physical injury, property damage and death. Each Participant declares voluntarily assuming all known and/or unknown risks to date associated with these sports activities even if they are caused in whole or part, by the action, inaction or negligence of others.
Each Participant expressly acknowledges that the Promoter does not provide medical advice via the Website and/or social networks. Thus, any shared content on the Website and/or the social networks, that is to say, any text, photograph, image, illustration, graphic, audio, video, video clip or other materials provided by the Promoter or by the Participants is not intended to be used and/or taken into account in place of:
(a)	any recommendation made by a doctor or healthcare professional;
(b)	a visit, call or consultation with a doctor or healthcare professional;
(c)	any information on the packaging or label of a product.

If a Participant has a health or emergency related question, then he/she will contact their doctor or any other healthcare professional.
Each Participant agrees not to disregard medical advice or delay a medical consultation because of content shared on the Website and/or social networks and not to use the Website and/or social networks or any content on the Website and/or the social networks in order to diagnose or treat a health problem.
Sending and receiving content of the Promoter, in whole or in part, or communication via the Internet, email or any other means of communication does not create between the Promoter and a Participant a doctor/patient, therapist/patient or any other relationship with a healthcare professional.

ARTICLE 4 RUNNING OF THE COMPETITION AND ITS RULES

The Promoter publishes a website dedicated to the Competition. This Website is available in five languages: English, French, Spanish, German and Dutch and an additional international version in English, accessible via the following url:
 
http://eurosporttour.eurosport.com hereinafter referred to as “the Website”.
Each Participant will be directed to one of these versions, depending on the place from which he/she connects to the Website.

4.1 Principle of the Competition

The principle of the Competition is for the participants to ride by bike using the free mobile application Strava (the “Application”) to earn Vimes as described in Article 3.2 below, and hope to win one of the prizes, described in point 5, according to his/her performance.

To participate in the Competition, each Participant will:

-	Download the Application;
-	Create a Strava account via the Application or the www.strava.com website by completing a form;
-	Use the log in information for the Strava account to register for the Competition on the Website.

So that the Participant’s athletic performances can be recorded and thus increase his/her chances of winning a prize through the competition, the latter must activate the “geotagging” feature of his/her mobile, connect to his/her Strava account via their mobile, activate the “Registration” of the Application and keep his/her mobile phone on their person throughout the bike ride. The results thus obtained will automatically synchronize with the Website.
It is specified that the activation of the 3G mobile feature is not required to record results during the bike ride, it is however required to synchronize these with the Website.
As part of the Competition, each Participant is duly informed that the company Strava Inc. will inform the Promoter of the data (full name and email address) and the results present on the Strava account of the Participant.
The more Vimes you get, the higher you climb in the rankings. The goal is to be in the top 20 of the rankings to hope to be part of the five winners of the Eurosport Tour.

The Participants will also be automatically registered for the following three intermediate competitions, which take place during the Eurosport Tour, to win top or runner-up prizes:
-	Kilometre Competition: From 15 June to 15 July 2015.
-	Climbing Competition: From 16 July to 15 August 2015.
-	Best Ride Competition: From 16 August to 15 September 2015.

4.2 What is a Vime?

A Vime is a measurement created especially for the Eurosport Tour. It is calculated via an algorithm that was designed for the Competition. The algorithm for calculating Vimes includes all variables collected in the Application, and the sharing actions to create the overall ranking of the Eurosport Tour.

The algorithm aggregates all variables tracked in the Application:
-	Distance
 
-	Elevation
-	Number of rides
-	Cumulative duration of rides

hereinafter collectively known as “the Variables”.

In addition, sharing activities on social networks (Facebook and Twitter) of the Eurosport Tour performances by each Participant are integrated into the algorithm and also allow them to accumulate Vimes.

4.3 Calculation of Vimes

The set of Variables taken into account in the calculation of Vimes are processed so as to:
-	Reward the most complete riders.
-	Motivate riders in the long term.
-	Allow to reach a consequential score, provided that the maximum Vimes attainable by each Participant is 999,999 Vimes.
-	Avoid too great a disparity between professionals and amateurs.
The processing of Variables (multiplier coefficient and levels) has been studied to allow the motivation of riders to be enhanced without overvaluing professional cyclists.

4.4 Processing of Variables in the algorithm

Distance
>  Distance is included in metres. A multiplier coefficient of 0.0016 was incorporated after testing on actual riders. This allows the score in Vimes not to be completely correlated with the number of kilometres travelled.
Elevation
>  The elevation is included in metres. A multiplier coefficient of 0.05 was incorporated after testing on actual riders. This coefficient allows to provide more reward for kilometres completed uphill.
Speed
>  Speed is not directly integrated to prevent races between participants. Only the average speed is taken into account.
Number of rides
> The number of sessions is processed in stages in the algorithm, it allows riders who complete a maximum of races to be rewarded without overvaluing professionals compared to amateur athletes.
> The number of rides rewarded is capped at fourteen per week to prevent too large a gap between professionals and amateurs. The first fourteen races will be taken into account, any beyond that will not be considered.
Duration of rides
>The durations of rides are accumulated per week, this will reward riders spending more time on the bike without overvaluing professionals compared to average athletes.
> The duration of accumulated rides is capped at six hours per week to prevent too large a gap between professionals and amateurs.
Sharing actions of performances
>  Sharing actions are rewarded to encourage users to log in to the platform daily. One share per day per Participant is recognized.
 
ARTICLE 5 DETERMINATION OF WINNERS AND PRIZES

5.1 Determining winners and prizes

The Competition consists of Eurosport Tour and three intermediate competitions and a winner can only win one top prize for all competitions making up the Competition.

a)	Eurosport Tour:

From 15 June to 15 September 2015.

The five winners will be announced on 16 September 2015 by Mr Juan Antonio Flecha. The latter will select the five winners in the top 20 of the Eurosport Tour to form his team, at his own discretion.

Top prize

Each of the five winners of the Eurosport Tour will win the following prize:
-	One numbered bib to participate in the legendary Paris-Roubaix Challenge with Juan Antonio Flecha in April 2016 (the date has not yet been specified);
-	The roundtrip flight to Paris;
-	Transfer from the Paris airport to the Paris or Roubaix hotel and from the Paris or Roubaix hotel to the airport in Paris;
-	Two night stay in a hotel in Paris and/or Roubaix.

It is specified that the departing flight “will” leave from the airport closest to the winner’s home, with a direct connection to Paris. Transportation may also be by train, if applicable.

Maximum value of the prize: 2010€

b)	Kilometre Competition:

From 15 June to 15 July 2015.

Top prize:

The participant who completes the highest number of kilometres between 15 June and 15 July 2015 will be rewarded by the Promoter, based on the scores recorded through the Application.

The winner will be chosen on 16 July 2015 and will win the following prize:
-	One place in the Saxo-Tinkoff car during stage 17 of the Tour de France between Digne-les-Bains and Pra Loup (Thursday, 22 July 2015);
-	Roundtrip flight to Marseille;
-	Transfer from Marseille airport to the hotel in Digne-les-Bains and from the Digne-les-Bains hotel to Marseille airport;
-	One night stay at the hotel in Digne-les-bains.
 
It is specified that the departing flight “will” leave from the airport closest to the winner’s home, with a direct connection to Marseille. Transportation may also be by train, if applicable.

Maximum value of the prize: 1100€

Runner-up prizes:

A draw will be carried out by the Promoter on 16 July 2015 to randomly appoint twenty-eight winners.
The prizes are:
-	Twelve Tour de France 2015 canteens;
-	Three Tour de France 2015 tee-shirts;
-	Three Tour de France 2015 caps;
-	Ten one-year subscriptions to Eurosport Player (this lot may not be offered to residents of France. If a French resident would be drawn for such a prize, an alternate prize of the same value will be offered to him/her).

Maximum value of the prize: 570.2€

c)	Climbing Competition:

From 16 July to 15 August 2015.

Top prize:

The participant who completes the best elevation score between 16 July and 15 August 2015 will be rewarded by the Promoter, based on the scores recorded through the Application.
The winner will be chosen on 17 August 2015 and will win the following prize:
-	One place in the Tinkoff-Saxo car during stage 20 of the Vuelta between San Lorenzo de El Escorial and Cercedilla (Saturday, 12 September 2015);
-	Roundtrip flight to Madrid or Barcelona;
-	Transfer from Madrid or Barcelona airport to the San Lorenzo de El Escorial hotel and from San Lorenzo de El Escorial hotel to Madrid or Barcelona airport;
-	One night stay in a hotel.

It is specified that the departing flight will leave from the airport closest to the winner’s home, with a direct connection to Madrid or Barcelona. The transport may also take place in the process, if necessary.

Maximum value of the prize: 1000€

Secondary prizes:

A draw will be carried out by the Promoter on 17 August 2015 to randomly appoint twenty-nine winners.
The prizes are:

-	Twelve Tour de France 2015 canteens;
-	Three Tour de France 2015 tee-shirts;
-	Four Tour de France 2015 caps;
-	Ten one-year subscriptions to Eurosport Player (this lot may not be offered to residents of France. If a French resident would be drawn for such a prize, an alternate prize of the same value will be offered to him/her)
Maximum value of the prize: 578.7€

d)	Best Ride Competition:

From 16 August to 15 September 2015.

Top prize:

The Participant who completes the maximum kilometres between 16 August and 15 September 2015 will be rewarded by the Promoter, based on the scores recorded through the Application.
The winner will be chosen on 16 September 2015 and will win the following prize:
-	One Greg LeMond bicycle

Maximum value of the prize: €2,800, all taxes included.

Runner-up prizes:

A draw will be carried out by the Promoter on 16 September 2015 to randomly appoint twenty-eight winners.
The prizes are:

-	Eleven Tour de France 2015 canteens;
-	Four Tour de France 2015 tee-shirts;
-	Three Tour de France 2015 caps;
-	Ten one-year subscriptions to Eurosport Player (this lot may not be offered to residents of France. If a French resident would be drawn for such a prize, an alternate prize of the same value will be offered to him/her).
Maximum value of the prize: 577.1€

5.2. Methods of awarding prizes


Each winner is informed of his/her win by the Promoter the week following the end of the corresponding Competition session. The Promoter will contact each winner by email at the address indicated when creating the Strava account, then forwarded to the Website to confirm his/her win and make arrangements for its delivery, if applicable. No message will be sent to the losers.

In the event that a winner fails to confirm his/her win within two business days after the initial contact by the Promoter, or if a winner declined the win, the Promoter will select an alternate winner under the same conditions as those described above, and so on until the prize is actually awarded.
The Participants are fully responsible for the validity of their contact information when they register on the Website and the Participants acknowledge that the Promoter cannot be held responsible for non-delivery of emails and/or prizes due to incomplete, inaccurate or incorrect contact details transmitted to it.
 
5.3 For all prizes
Anything that is not expressly included in the prize as referred to above, shall be deemed excluded (for example: meal costs, transportation, personal expenses, taxes, extension of the stay and additional accommodation costs, changing flight tickets, etc.).

The winners are each responsible for taking steps and getting the necessary documents allowing them to travel to the location of the event on the agreed dates (e.g., passports, visas, licences, insurance).

The prizes cannot be exchanged, returned or be the subject of financial compensation or a financial equivalent. Any complaints regarding the provision and availability of the prize will not include financial compensation and/or a financial equivalent.

It is specified that the Promoter will not provide any guarantee, support, implementation or availability service, the prize consisting of only the provision/implementation of the prize as described and agreed with the winner.

In no event shall the Promoter be held responsible for the provision of prizes or in the event of impossibility for the winners and/or their guest to enjoy their prizes for reasons or circumstances beyond the control of the Promoter.
ARTICLE 6 OBLIGATIONS PERTAINING TO THE RESULTS AND LICENCE

6.1 Participation rules pertaining to data

By accepting the Competition Rules, each Participant unreservedly acknowledges and accepts that all the results obtained via the Application can be published under its full responsibility.

To enable all Participants to publish their results freely and in a spirit of conviviality, each Participant undertakes in particular to commit to the principles below.

The Participants must ensure in particular that the following condition is met:
- The Participant must be the one that completes the performance.
The results will be monitored at the discretion of the Promoter.
Only the results complying with the terms and conditions of participation of the Competition and these Rules will be accepted by the Promoter and may be considered in the context of the Competition.
Attention, in case of suspicion of fraud or unfair participation, the Promoter reserves the right to conduct any checks it deems appropriate. Any proven corrupt or unfair move shall result in immediate and final disqualification without notice of the Participant.

The Promoter also reserves the right to remove:
- All fraudulent profiles (cheating).- All Strava profiles and/or publications on all the social networks that would undermine the brand image or reputation of the Promoter and/or its partner Strava in the context of the Competition.

6.2 Authorisations - Warranties

By participating, each Participant freely authorizes the publication of results and/or last names and/or first names and/or pictures on the Website and their exploitation by the Promoter for editorial and promotional purposes in all media (web, TV, etc.).

Each Participant grants the Promoter a non-exclusive and royalty-free license allowing it to reproduce, copy, sell, perform, transmit, distribute, adapt, translate and generally operate all or part of the results posted on the Website and with the sole purpose of promoting the activities of the Promoter and/or the Competition.

Each Participant warrants to the Promoter the compliance of the results with all provisions of these Competition Rules;

This licence is granted for the whole world, for all operations in all media and by all distribution processes that are known or unknown to this day, and for the entire legal term of protection of intellectual property (including renewals and extensions).

The Promoter is also authorized by each Participant to sub-licence the rights granted to its subsidiaries.

ARTICLE 7 FILING AND CONSULTATION OF COMPETITION RULES

The Rules may be amended at any time in the form of an amendment by the Promoter to be published on the Website.
Participants may view the Competition Rules:
•	At any time after logging into the Website in the “Competition Rules” ARTICLE.
•	upon written request to the Promoter (EUROSPORT- Service Jeux Concours - 3, rue Gaston et René Caudron - 92798 Issy-les-Moulineaux Cedex 9 - FRANCE).

ARTICLE 8 LIABILITY AND RESERVATIONS

8.1 Liabilities
The Promoter may not be declared liable for any total or partial malfunctions of the Internet and/or Application with and without leading to failures in administration, security, input, integrity, or management of the Competition. It cannot be declared liable in particular for any errors, omissions, imperfections, interruptions, deletions, delays in transmission, failures of communication and connection circuits, destruction, damage or any other problem related to telecommunications networks, computers and online terminals, servers or access providers.
The Promoter reserves the right to exclude from participation in this Competition anyone who disturbs its progress. It reserves the right to prosecute anyone who has cheated, deceived, faked or disturbed the operations described in these Rules or tried to do so. Winners who have cheated shall automatically forfeit any right to obtain any prize.
 
The Promoter reserves the right, especially in case of compelling reasons, to shorten, extend or cancel the Competition in part or in full if circumstances so require it and the Players acknowledge that its responsibility cannot be held thereby.
These changes may however be subject to prior information by all appropriate means, the Promoter reserving the possibility to temporarily suspend the opportunity to participate in the Competition if it or its potential technical service providers (including its hosting providers) could not ensure the continuity of service necessary for the conduct of the Competition.
The Promoter may in the event of force majeure, a fortuitous case, or under exceptional circumstances (fire, flood, natural disaster, intrusion, virus in the computer system, strike, calling into question the financial and technical balance of the Competition, etc.) even due to its own responsibility (provided in the case of good faith) stop all or part of the Competition.
This Competition shall be cancelled in the event of dissolution of the Promoter, and in the event of force majeure, without the Participants being entitled to claim any compensation in that regard.
The Rules may be amended at any time by the Promoter, in compliance with the principles set forth above in this respect.
8.2 Reservations
Any information disclosed by the Participants, including their contact information, will be considered void and will not be taken into consideration if it includes an anomaly.
The Participants acknowledge that the Promoter cannot be held liable for harm of any type (personal, physical, financial or otherwise) arising in connection with their participation in the Competition.

ARTICLE 9 DATA AND INFORMATION - DATA PROTECTION ACT

Pursuant to Article 26 of Act No. 8-17 of 6 January 1978 known as the Data Protection Act, the Participants have a right to access the computer file and rectify data concerning them and may ask for their details to be removed and not be used for purposes of direct marketing by Eurosport. This request may be made by ordinary letter to the Promoter: EUROSPORT - Service Jeux Concours - 3, rue Gaston et René Caudron - 92798 Issy-les-Moulineaux Cedex 9 - France.
Their data is not shared with third parties.
The automated processing of personal data of Players resulted in a declaration to the Commission Nationale Informatique et Libertés [French National Data Protection Authority].

 
ARTICLE 10 APPLICABLE LAW

These Rules are subject to French law.
To be considered, any disputes relating to the Competition shall be made within thirty (30) days from the closing of the Competition, in writing only and sent to the following address: EUROSPORT - Service Jeux Concours - 3, rue Gaston et René Caudron - 92798 Issy-les-Moulineaux Cedex 9.
The Promoter shall decide on any matter relating to the application of these Rules or those not regulated by it. Except for cases of fraud by the Participants, any dispute that might arise during the implementation of these Rules are primarily solved amicably between the Promoter and the Participant.
Any dispute that might arise in interpreting these Rules shall be referred expressly to French law and to the sovereign judgement of the Promoter and ultimately at the discretion of the competent courts of jurisdiction of the Court of Appeal of Paris.
 
APPENDIX 1

EUROSPORT TOUR 2015 PARTICIPANT LIABILITY RELEASE

READ CAREFULLY
In return for the opportunity to participate in the “Eurosport Tour 2015” organised by Eurosport SAS, I agree to the following conditions irrevocably and unconditionally, both for myself and for my heirs, successors, assigns and insurers:
ACKNOWLEDGEMENT OF RISK. Eurosport SAS made no statement to me about the suitability, conditions or safety of places where bike rides for the Eurosport Tour 2015 may take place and I acknowledge that my participation in the Eurosport Tour 2015 may be hazardous and cause accidents, personal injury and property damage. I declare to be healthy and my health and my medical history are not likely to jeopardize or limit my ability to participate in the Eurosport Tour 2015. I acknowledge having examined and evaluated the nature, scope and extent of risks involved, and I voluntarily and freely choose to assume these risks. Moreover, I undertake to abide by the reasonable instructions issued by Eurosport SAS within the rules of the Eurosport Tour 2015.
INSURANCE. I acknowledge that Eurosport SAS provides no insurance, whether life, medical or civil liability insurance in the event of illness, accident, injury, loss or damage that may arise as part of my participation in the Eurosport Tour 2015.
COMPENSATION. To the fullest extent permitted by applicable regulations, I recognize that Eurosport SAS accepts no liability for the Eurosport Tour 2015, except in cases of gross negligence or wilful misconduct.
VALIDITY. In the event that any of these sections would be declared invalid or unenforceable in whole or part, by a court of competent jurisdiction for any reasons whatsoever, the other sections of this Participant Liability Release for Eurosport Tour 2015 remain valid and fully applicable. The provisions declared invalid or inapplicable will be replaced by valid provisions whose content is as close as possible to that of the invalidated stipulation. This Participant Liability Release for Eurosport Tour 2015 supersedes any written or oral agreements previously concluded in the framework of the Eurosport Tour 2015.
ATTRIBUTION OF JURISDICTION AND INTERPRETATION. This Participant Liability Release for Eurosport Tour 2015 shall be governed and interpreted in accordance with the law of the country in which the Participant resides and any dispute arising herefrom shall be submitted to the exclusive jurisdiction of the courts of the country where the Participant resides.

I DECLARE HAVING CAREFULLY READ THE PARTICIPANT LIABILITY RELEASE FOR EUROSPORT TOUR 2015 ABOVE AND HAVING PERFECTLY UNDERSTOOD THE TERMS, AND ACKNOWLEDGE THAT I VOLUNTARILY ACCEPT THE CONDITIONS.
